I. Scope of this Notice

Shenzhen Shoushi Technology Co., Ltd. takes your privacy seriously. This Privacy Notice ("Notice") covers information that Shenzhen Shoushi Technology Co., Ltd., and its subsidiaries and affiliates (collectively, "Rraycom," "we," "us," or "our") collect, use, share, and store, including personal information (i.e. information that can be used to personally identify you by itself or when combined with other information).

This Notice covers information collected and processed by Rraycom when you use our smart home devices ("Products") and platform services ("Services"), including cloud service, Apps, websites managed and/or operated by Rraycom ("Site"), etc. You may be a visitor to our Site ("Visitors"), a user of one of our Products or Services ("User"), or a customer of one of our business clients or partners ("Third-Party Customer"). If you are a Third-Party Customer, then Rraycom usually does not collect personal information directly from you. Your agreement with the relevant business client or partner should describe how your personal information is shared with Rraycom. If you have any questions about this sharing, you should direct them to the relevant business client or partner. This Notice describes how we collect, use, share, and secure the information we process. It also describes your choices regarding the use, access, and correction of your personal information.

II. Your Permission

By using Rraycom's Services, you give Rraycom permission to collect, process, and store data as described in this Notice. Raycom's servers are located in the United States of America, and your information, including personal information, may be transferred to the United States and processed there. Your information, including personal information, may also be transferred to and processed in other countries where Rraycom or its affiliates, subsidiaries, or agents operate. Your information may also be shared with third-party service providers in other countries in order to provide our Services. These countries may not have privacy laws similar to or as comprehensive as the laws where you reside and/or are a citizen. By using Rraycom’s Services, or by accessing its Site (including Rraycom.com) you explicitly consent to this transferring, processing, and storage of your information, including personal information.

III. Information that Rraycom collects

When you use our Services or Products

If you are a User, the information we collect or obtain may include:

  • contact details, such as your name, title, e-mail address, telephone and fax numbers, and physical address;
  • information about your company, job title, and function;
  • information about your gender, date of birth, etc.;
  • your e-mail marketing preferences;
  • payment information, such as name, billing address, and payment card details, including card number, expiration date, and security code, which is collected and stored by our third-party payment processors on our behalf and Raycomstores only the last four digits of your payment card and the expiration date;
  • information such as your nationality and country of residence that allows us to determine various legal requirements and your eligibility under export control regulations to receive information about certain technologies;
  • information used to customize and facilitate your use of our Site and App, including login and technical information;
  • audio, video, and photographic information that you record with your Products connected to the Rraycomserver;
  • technical information such as the IP address and browser type and version when your browser, mobile device, or Product contacts our servers;
  • location data;
  • during setup, Rraycom devices may ask for your Wi-Fi network name (SSID) and password to connect to the internet.
  • inquiries about and orders for our Services;
  • information that assists us in identifying the Products and Services that best fit your requirements;
  • event registration information;
  • feedback from you about our Site and our Services generally;
  • any information as collected pursuant to the description under "information collected automatically when you visit our Site" below;
  • any information that you voluntarily provide.

Some jurisdictions may have laws and regulations that affect the collection of personal information from cameras. You, not Rraycom, are responsible for staying current with and complying with all laws and regulations that affect the collection of personal information by these devices in your country. Raycom cameras are marketed and intended for purely personal or household use, but the collection of personal information from others may be affected by laws and regulations in your area.

When you visit our Site

We collect information about your visit to our Site, including what pages you view, the number of bytes transferred, the links you click, the materials you access, and other actions taken within Rraycom's Site, on any page that you enter with a user ID. We also collect certain standard information that your browser sends to every website you visit, such as your Internet Protocol (IP) address, your browser type and capabilities and language, your operating system, the date and time you access the Site, and the website from which you linked to our Site. We do not link this information to your identity.

Your general information about the browsing session, a hashed version of the Facebook ID, and the URL being viewed may also be collected for our Facebook Ads. For information about Facebook Ads and information on how to opt out, please go to https://www.facebook.com/about/ads

Cookies and other tracking

We use cookies (small text files stored in your browser) and other techniques, including tracking pixels, to improve your experience on our Site. We permit third-party advertising partners to use cookies and other technology to collect information about your browsing activities when you use our Site. Most browsers will provide instructions on controlling which cookies can be used. If you choose to block or otherwise limit our cookies, it may affect the quality of services provided.

IV. How Rraycom uses the information it collects

Raycom uses the information we collect in a number of ways, such as:

  • Providing you with the RraycomSite and Services for which you have registered, as well as any Services, support, or information you have requested;
  • Better understanding how our Site and Services are being used so we can improve them;
  • Diagnosing problems in our Site and Services;
  • Sending you business messages such as those related to payments or expiration of your subscriptions;
  • Sending you information about Rraycomand its controlled subsidiaries and affiliates, such as new application releases, special offers, and similar information;
  • Reducing fraud, software piracy, and protecting our customers as well as Rraycom;
  • To administer our Services or Site (including any searches or requests for information about our Services);
  • For assessment and analysis of our market, customers, products and services, including asking you for your opinions on our Services and carrying out customer surveys;
  • To enable us to monitor, review and improve the Services which we offer;
  • For internal record keeping;
  • To allow us to contact you with direct marketing and promotional offers;
  • To allow us to identify motion and other events in the information collected by your devices.

V. Disclosure of your personal information

Except as described below, Rraycom will not share personal information outside of Rraycom and its controlled subsidiaries and affiliates without your permission.

Disclosure to service providers. Rraycom contracts with other companies to provide services on our behalf, such as hosting our Site, handling and storing our emails, sending out information, handling requests, processing transactions, and analyzing our Site. For example, Rraycom utilizes a third-party service provider to send an initial SMS notification to verify that your phone number is a working number.

One of the third-party services that we use is Google Analytics. You can find more information on how Google uses data, see https://policies.google.com/technologies/partner-Site.

Disclosure to distributors. In responding to a request made by you, we may share your personal information with companies that distribute our Products. We provide these companies with only those elements of your personal information they need to respond to your request.

Disclosure in connection with transactions. In connection with certain transactions, we may disclose personal information to financial institutions, government entities, shipping companies, or postal services involved in fulfillment.

Disclosures in connection with acquisitions or divestitures. Circumstances may arise where, for strategic or other business reasons, Rraycom decides to sell, buy, merge, or otherwise reorganize businesses in some countries. Such a transaction may involve the disclosure of personal information to prospective or actual purchasers, or receiving it from sellers. Rraycom will take reasonable steps to request that the purchaser treat the data as stated in the Rraycom Privacy Notice in effect at that time.

Disclosure for other reasons. We may disclose personal information if required to do so by law or in the good-faith belief that such action is necessary to comply with legal requirements or with legal process served on us, to protect and defend our rights or property, or in urgent circumstances to protect the personal safety of any individual, or where you have consented to the disclosure..

VI.Consent to international transfers of personal information

The personal information we collect may be sent to the United States or to any other country in which Rraycom or its affiliates, subsidiaries or agents operate. We may also store and process the information there. Your information may also be shared with third-party service providers in other countries in order to provide our Services. Although the laws that protect personal information in those countries may differ from the laws where you live, we will take reasonable steps to ensure that your privacy is protected. By using our Products and Services, or by providing your information to us, you explicitly consent to this transfer.

VII.Security

We are committed to ensuring that your personal information is kept and stored securely and we maintain reasonable physical, technical and organizational measures and procedures to safeguard and secure the information we collect through our Services and Site.

This has been done to help prevent unauthorized or unlawful processing of your personal information and accidental, unauthorized or unlawful access, use, processing, copying, alteration, transfer, loss or destruction of, or damage to your personal information. We endeavor to protect the privacy of your account and other personal information we hold in our records, but we cannot guarantee complete security. Unauthorized entry or use, hardware or software failure, and other factors, may compromise the security of user information at any time.

We protect the security of your personal information by:

  • Using encryption where appropriate;
  • Using password protection where appropriate, and
  • Limiting access to your personal information (for example, only our staff or employees who need access to it for the purposes described in this Privacy Notice will have access to it).

These measures do not release you from the responsibility of taking appropriate steps to keep your personal information safe and secure, such as avoiding obvious user IDs or passwords, changing your password regularly, and ensuring that you do not disclose your password(s) to others or grant any other person access to your user account and your personal information. We cannot guarantee that your personal information is secure when submitted or otherwise communicated through insecure means.

VIII. Use of Raycom services by children

Raycom Services are marketed to and intended to be used by adults. Children under the age of 18 (or equivalent minimum age in the jurisdiction where they reside) require consent from a parent or guardian to use Rraycom products. We do not knowingly collect personal information from children under the age of 18 (or equivalent minimum age in the jurisdiction where they reside).

IX. Your choices

  • You can opt out of receiving our marketing and promotional emails by adjusting the settings in your Account or by following the instructions provided on any marketing or promotional email received from us.
  • Your browser may allow you to disable cookies on our Site. Most browsers will provide instructions on controlling which cookies can be used. Please be aware that if you choose to block or otherwise limit our cookies, it may affect the quality of services provided.
  • You have privacy settings that you can adjust on your Raycom account.
  • In some cases, you can review and correct some of your personal information that Raycom processes by accessing your account and updating your personal information. You can help us to maintain the accuracy of your information by notifying us of any change to your mailing address, phone number, or e-mail address. Note that we need to retain certain records for legal or internal business reasons and that some of your information may remain on backup systems, in compliance with applicable law. We will retain your personal information for as long as necessary to provide you with the Services you are eligible to use, or as needed to comply with our legal obligations or enforce our agreements.
  • You also always have the choice to not use our Services and to cancel your accounts and discontinue use of our products at any time.

X.Data processing, storage, and transfers where the General Data Protection Regulation applies

This section only applies where the General Data Protection Regulation (“GDPR”) is applicable.

Identity of Controller and Processors

A data controller is the natural or legal person, or entity that directs the processing of your personal data and is chiefly responsible for the data. A processor is a natural or legal person, or entity that processes personal data on behalf of a controller.

For Users. Generally, for data collected from Rraycom’s Products and Services, Rraycom will be the controller of your data.

For Third-Party Customers. Generally, Rraycom will be the processor of your data. If Rraycom processes your data on behalf of a business client or partner, the relationship between Rraycom and the business client or partner should be described in the privacy policy of the business client or partner.. Please see the privacy policy of the corresponding business client or partner for further information, including, if applicable, the purpose(s) and legal bases of processing and the relevant contact information of the business client or partner.

Consent to International Transfers

The personal information we collect on our Site may be sent to the United States or to any other country in which Rraycom or its affiliates, subsidiaries, or agents operate. We may also store and process the information in these countries. Your information may also be shared with third-party service providers in other countries in order to provide our Services. The laws that protect personal information in these countries may differ from the laws where you live. By using our Site and/or Services or by giving your information to us, you explicitly consent to this transfer and processing of your data, including personal information. We also use appropriate safeguards, including standard contractual clauses for the transfer of personal information to third parties, where appropriate.

Please note that any information you publish publicly on our Site and App may be accessed globally.

Legal Bases for Processing

Rraycom relies on the following legal bases to collect, process, transfer, and store your personal information:

1. To allow us to enter into or fulfill the terms of a contract with you. We may need to collect and process your personal information in order to enter into or complete a contract that you are a party to, for example, we may need your name and address to deliver products to you after you order them.

2. To allow us or our partners to fulfill our legitimate business interests, such as:
a.Preventing fraud;
b.Maintaining the security of our Products and Services;
c.Conducting daily business operations;
d.Conducting direct marketing;
e.Providing, maintaining, and improving our Products and Services;
f.Managing user account;
g.Managing our Products and Services;
h.Performing research that improves our products or services for the users or public;
i.Fulfilling obligations to our partners.

3. To comply with legal obligations. Raycom may be required to process and/or disclose your personal information when legally required to do so, such as when filing taxes or answering law enforcement subpoenas. Rraycom may also disclose your information if required in response to lawful requests by public authorities, including to meet national security or law enforcement requirements, to comply with legal obligations, or when we believe in good faith that the law requires it. We may also disclose your personal information to verify or enforce our Terms & Conditions or other policies, or to otherwise protect the rights, property, safety, or security of third parties, visitors to our Site, or the public.

4. To process your information after obtaining specific consent from you to do so. For example, to contact you with special offers after you grant Rraycom consent to contact you with marketing material. Whenever consent is used to process your data you will be provided with details on how that information will be used before you grant consent. You have the right to withdraw consent for this type of processing at any time. Information on how to withdraw consent will be provided before your information is processed based on your consent. Withdrawing your consent will not affect the lawfulness of processing based on consent that was performed before consent was withdrawn.

Your Rights

The following rights are available under the General Data Protection Regulation. Please read the relevant regulations and guidance from the applicable regulatory authorities for further information on these rights.

In addition to the above-mentioned rights, if we rely on consent for the processing of your personal information, you have the right to withdraw it at any time, free of charge. When you do so, this will not affect the lawfulness of the processing before your consent is withdrawn.

You also have the right to request confirmation regarding whether we are processing your personal information.

You also have the right to lodge a complaint with a competent supervisory authority, subject to applicable law.

In order to protect your identity and the security of your personal information, Rraycom reserves the right to take reasonable steps to verify your identity before acting on any requests. Rraycom also reserves the right to charge a reasonable amount for requests.

XI.Your California Privacy Rights

Under Section 1798.83 of the California Civil Code, residents of California have the right to request from a business, with whom the California resident has an established business relationship, certain information with respect to the types of personal information the business shares with third parties for those third parties' direct marketing purposes, and the identities of the third parties with whom the business has shared such information during the immediately preceding calendar year. To exercise your rights, you may make one request each year by emailing us at  aftersale@rraycom.com with "Request for California Privacy Information" as the subject line. Please be sure to provide in the body of your email request sufficient information to properly identify you and/or the members of your family.

XII.Changes to this Privacy Notice

Rraycom may occasionally update this Notice. When we do, we will revise the "last updated" date at the top of this Notice. We will provide notice of any updates that materially expand the sharing or use of your personal information in ways not disclosed in this Notice at the time of collection.

Terms of Service

Dear friends, welcome to Rraycom! Thank you for choosing Rraycom's products, websites, services, devices and apps ("Services"). Rraycom ("we", "us" or "our") is THE global leading IoT platform provider. We are connecting everything, and most importantly, YOU.

1. Overview

The Agreement. Our Privacy Notice, One-year Limited Warranty,  Software End User Licensing Agreement and Sales Terms are incorporated into this Terms of Services (collectively referred to as the "Agreement") by reference as if fully set forth herein.

Binding Contract. The Agreement serves as a guide to help you understand our Services, and also constitutes a legally binding agreement between you and Rraycom. Your use of our Services indicates that you have read, accepted and agreed to the Agreement and constitutes your consent to the Agreement too. You also agree that by registering, accessing or using our Services, including our free Services, you have agreed to this Agreement, which is a legally binding contract between you and Rraycom.

Age. As a principle of law, only persons with legal capacity can form a binding contract with others. Accordingly, (1) if you are under 18, we cannot offer Services to you because it is our responsibility to protect you, so please discontinue the use of our Services in the future; (2) if you are between 13 and 18 (or the equivalent minimum age in the jurisdiction where you reside), you may only use the Services under the supervision of a parent or legal guardian who agrees to be bound by this Agreement. BY USING OUR SERVICES, YOU REPRESENT AND WARRANT TO US THAT YOU ARE OVER THE AGE OF 18 (OR EQUIVALENT MINIMUM AGE IN THE JURISDICTION WHERE YOU RESIDE).

Not an Emergency Alert Service. Rraycom's Services are not designed to provide emergency alert services. By using Rraycom's Services you agree that they are not an emergency response system. Third-party emergency response solutions may be offered through Rraycom, but they will operate independently from Rraycom and Rraycom will not be responsible for any services provided by third parties.

IN THE EVENT OF ANY LIFE/SAFETY EMERGENCY, PLEASE CONTACT THE POLICE, FIRE DEPARTMENT, 911 OR ANY OTHER APPROPRIATE EMERGENCY RESPONSE SERVICE IMMEDIATELY INSTEAD OF Rraycom.

IF YOU DO NOT AGREE TO THIS AGREEMENT, YOU WILL HAVE TO IMMEDIATELY CEASE USING AND/OR ACCESSING OUR SERVICES. Cloud Plans

We offer two types of cloud plans:

Premium Plan – Under the Premium Plan, you enjoy 7-day intelligent continuous cloud recording; alert clips will be stored in the Rraycom cloud. The first-day recording (00:00-24:00) in your 7-day cloud plan will be deleted from the cloud server automatically by the system at 24:00 on the 7th day, even if less than 24 hours’ recording is stored on the first day. PLEASE ALWAYS REMEMBER TO DOWNLOAD AND/OR BACK UP ANY CLOUD RECORDINGS OR ALERT CLIPS THAT YOU WOULD LIKE TO RETAIN BEYOND THE STORAGE PERIOD IN YOUR PREMIUM PLAN. Rraycom WILL NOT BE LIABLE OR RESPONSIBLE FOR ANY LOST CLOUD RECORDINGS OR ALERT CLIPS THAT YOU FAIL TO DOWNLOAD OR BACK UP IN TIME.

Platinum Plan – Under the Platinum Plan, you enjoy 30-day intelligent continuous cloud recording; alert clips will be stored in the Rraycom cloud. The earliest 24-hour recording of your 30-day cloud recordings will be first deleted from the cloud server automatically by the system once your period of cloud storage hits 30 days (24 hours * 30). PLEASE ALWAYS REMEMBER TO DOWNLOAD AND/OR BACK UP ANY CLOUD RECORDINGS OR ALERT CLIPS THAT YOU WOULD LIKE TO RETAIN BEYOND THE STORAGE PERIOD IN YOUR PLATINUM PLAN. Rraycom WILL NOT BE LIABLE OR RESPONSIBLE FOR ANY LOST CLOUD RECORDINGS OR ALERT CLIPS THAT YOU FAIL TO DOWNLOAD OR BACK UP IN TIME.

Cloud Plan Billing. For each of the Premium and Platinum Plans, you may initially subscribe for periods of 1 month, 6 months, or 1 year. Recurring subscription fees are billed or charged every month, 6 months, or 1 year, respectively, from the day of your initial subscription. If you subscribed on the 29th, 30th, or 31st of a month, and such date is later than the last day of a month in which subscription fees are due, your subscription will be renewed and billed on the last day of that month. For example, a 1 month subscription that began on March 31st will be renewed and billed on April 30th, etc. If any payment is not received in a timely manner, or if any credit card or similar transaction is rejected, Rraycom reserves the right to process any payment method you have submitted to retry billing until successful, or to cancel your subscription plan and to collect any rejection or insufficient funds fee due.

Automatic Renewal. In order to make sure that your continued use of our Services is not disrupted, your subscription period of 1 month, 6 months, or 1 year, as applicable, will be automatically renewed when your initial subscription expires, unless and until you choose to unsubscribe from us or we cancel your subscription.

Cancellations and Refunds. You may cancel your recurring subscription through your Rraycom account at any time, with or without cause. You may also cancel by contacting us at  rraycom@hotmail.com, but may be required to provide certain forms of authentication and verification of ownership. If you subscribed to the cloud plan through the iOS in-app purchase, your subscription and billing is managed by Apple. You will need to cancel your subscription from your iTunes account or by contacting Apple. Your cancellation date will be in accordance with the time stamp of the original contact. To avoid future billing, you must cancel your subscription before the next renewal date. Cloud subscription plans are not eligible for refunds. As such, after cancellation you will continue to enjoy access to the cloud plan until the last day of your current subscription period. After the subscription period ends, you will no longer be billed the recurring subscription fees, and your cloud recordings will be permanently deleted and will no longer be accessible to you.

2. Submitted Content

Certain materials may be displayed or performed on our Services, such as text, graphics, articles, photographs, audio and video recordings, images, and illustrations some or all of which are protected by law ("Content"). Content includes information, photos and video and audio clips that you and other users contribute, upload, post, transmit or provide us in the course of using our Services, and also includes comments, questions, feedback or other information that you and others transmit to us.

The way you use the Contents should not be in violation of applicable law, third-party or intellectual property rights. If we decide in good faith that your use of Contents is in violation of the preceding sentence, we reserve the rights to remove or delete such Contents promptly, with or without notifying you first.

3. User Account

Information. When registering a Rraycom account, you agree to provide to us true and correct information and to keep your information up to date.

Account Security. You are entirely responsible for maintaining the confidentiality of your Account information. Please always try to choose a strong and secure password, and keep your password secure and confidential. Please notify us immediately once you become aware that any of your Account information has been comprised. You are responsible for anything that happens through your account unless you close it. Rraycom is not liable for any loss or damage caused by your failure to comply with these requirements.

4. Access to Services

Limited Access. While we aim for Rraycom's Services to be reliable and available, they are not intended to be reliable and available 100% of the time. The Services are subject to interruptions and failures for a variety of reasons. By using the Services, you acknowledge these limitations and agree that Rraycom is not responsible for any damages or losses allegedly caused by any interruptions or failures, including but not limited to, any damages or losses related to the malfunction or other issue with a non-Rraycom device and/or the use of any third-party products or services you have chosen to interface with through Rraycom.

Internet service provider and cell phone charges. Some Rraycom Services require the use of an internet connection. You are responsible for any service charges incurred as a result of using or accessing the Services and acknowledge and agree that you will be solely responsible for any and all disputes with any internet service provider or cell phone provider related to the use of Rraycom Services in any way.

5. Third-party Integration

Rraycom-provided interface to third-party products and services. Rraycom may offer the opportunity to interface with products and services from third parties. These interactions are voluntary, and your explicit consent is required for these interfaces to occur. By authorizing such interfaces, you consent to Rraycom sharing data, including personal information, with these third parties to enable the interface you have authorized. Rraycom makes no representations or warranties about the quality or safety of any third-party products or services or the interface with third-party products or services. Rraycom is not responsible for your use of third-party products or services, or any personal injury, death, property damage, or other harm or losses of any type arising from or relating to your use of any third-party products or services.

Some local governments require special permits and registration for emergency response systems. You acknowledge that Rraycom is not responsible for obtaining, maintaining or renewing any applicable permit or registration and is not responsible for any losses or damages, including but not limited to, fines and penalties that may arise from a failure to obtain, maintain or renew any permit or registration.

6. Acceptable Use

You agree to comply with all applicable laws, including, without limitation, privacy and data protection laws, intellectual property laws and other rights of any third party, tax laws, and other regulatory requirements in connection with your use of the Services. This may include applicable laws requiring you to obtain appropriate licenses, consents and permits before using the Services.

By using our Services, you further agree that you are not located in an embargoed country and are not listed as a prohibited or restricted party under applicable export control laws and regulations.

7. Intellectual Property

We and our licensors reserve all of our intellectual property rights in or relating to the Services. You will not gain any ownership or any proprietary rights in these intellectual property (including patents, copyrights, trademarks).

You and Rraycom are legally obligated to NOT infringe third-party intellectual property rights. Your Contents and/or the way you use your Contents should not violate any third-party intellectual property rights. If there is any violation by you, we reserve the rights to take appropriate steps in good faith to rectify the violation, including remove the alleged infringing Contents promptly.

8. Software

Rraycom's Services include software. Software may be updated automatically on your web browser or device once a new version or feature is available. By using Rraycom's Services you consent to allow these automatic updates. You acknowledge that you may be required to install any updates or other modifications in order to continue using Rraycom's Services. You may be able to adjust your automatic update settings on your device's operating system.

Any software component embodied in the Services (including devices) is licensed to you, and not sold. We (and our licensors) provide you with a personal, worldwide, non-assignable, non-sub-licensable, non-exclusive license to use the software provided to you as part of the Services. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services in accordance with this Agreement.

9. Product Delivery

If you order a device from us, we will use reasonably commercially endeavors to deliver the Product as soon as possible but occasionally our delivery to you may be affected by an event outside our control. But we will do what we can to accommodate you.

10. Privacy and Data Protection

By using our Services you agree that you understand and consent to Rraycom's collection, storage and use of your personal data pursuant to Rraycom’s Privacy Notice. The Privacy Notice may be updated from time to time so you should check it regularly.

11. Warranty

THE WARRANTY FOR PRODUCTS IS SET FORTH IN THE LIMITED WARRANTY. THE SERVICES ARE PROVIDED FOR YOUR CONVENIENCE, "AS IS" AND "AS AVAILABLE" AND Rraycom AND OUR LICENSORS AND SUPPLIERS EXPRESSLY DISCLAIM ANY WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

Rraycom AND OUR LICENSORS AND SUPPLIERS MAKE NO WARRANTY THAT DEFECTS WILL BE CORRECTED OR THAT THE SERVICES: (I) WILL MEET YOUR REQUIREMENTS; (II) WILL BE COMPATIBLE WITH YOUR HOME NETWORK, COMPUTER OR MOBILE DEVICE; (III) WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; OR (IV) WILL BE ACCURATE OR RELIABLE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM Rraycom OR THOUGH THE SERVICES SHALL CREATE ANY WARRANTY.

Rraycom DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCTS OR SERVICES ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH OR IN CONNECTION WITH THE PRODUCTS OR SERVICES OR ANY HYPERLINKED WEBSITE OR SERVICES, AND Rraycom WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF SUCH PRODUCTS OR SERVICES.

WHEN YOU INSTALL, SETUP OR USE PRODUCTS AND SERVICES LIKE THOSE PROVIDED BY Rraycom YOU ARE GIVEN THE OPPORTUNITY TO ALTER DEFAULTS OR CHOOSE PARTICULAR SETTINGS. THE CHOICES YOU MAKE CAN CAUSE DAMAGE OR LEAD TO NON-RECOMMENDED OPERATION OF YOUR CONNECTED EQUIPMENT OR SYSTEMS. YOU ASSUME ALL LIABILITY FOR SUCH DAMAGE WHEN YOU CHOOSE PARTICULAR SETTINGS OR SET OR ADJUST DEFAULTS.

Rraycom MAKES NO REPRESENTATIONS CONCERNING ANY CONTENT CONTAINED IN OR ACCESSED THROUGH THE SERVICES, AND Rraycom WILL NOT BE RESPONSIBLE OR LIABLE FOR THE ACCURACY, COPYRIGHT COMPLIANCE, LEGALITY OR DECENCY OF MATERIAL CONTAINED IN OR ACCESSED THROUGH THE SERVICES. Rraycom MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING SUGGESTIONS OR RECOMMENDATIONS OF SERVICES OR PRODUCTS OFFERED OR PURCHASED THROUGH THE SERVICES.

YOU ACKNOWLEDGE AND AGREE THAT Rraycom IS NOT RESPONSIBLE FOR ANY CLAIM OR LIABILITY ALLEGEDLY CAUSED BY OR ARISING OUT OF OR IN CONNECTION WITH TRANSMISSION ERRORS.

YOU UNDERSTAND AND AGREE THAT Rraycom’S SERVICES, WHETHER OR NOT COMBINED OR INTEGRATED WITH THIRD PARTY SERVICES, DO NOT ELIMINATE OR NECESSARILY REDUCE THE LIKELIHOOD OF EVENTS OF OCCURRENCES SUCH AS BURGLARIES, ROBBERIES, FIRES, FLOODS, OR OTHER CRIMES AND NATURAL EVENTS. Rraycom MAKES NO WARRANTY OR REPRESENTATIONS (INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE) TO THIS EFFECT AND WILL NOT BE LIABLE FOR ANY DAMAGES.

12. limitation of liability

IN NO EVENT SHALL Rraycom OR ITS DEVICE PROVIDERS, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE WITH RESPECT TO THE WEBSITE OR THE SERVICES OR THE SUBJECT MATTER OF THIS AGREEMENT UNDER ANY CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY (I) FOR ANY AMOUNT IN AGGREGATE IN EXCESS OF THE GREATER OF $100 OR THE FEES PAID BY YOU FOR THE SERVICES AND ANY PRODUCTS OR ADDITIONAL SERVICES PURCHASED THROUGH THE SERVICES DURING THE 6-MONTH PERIOD PRECEDING THE APPLICABLE CLAIM; (II) FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER; (III) FOR DATA LOSS OR COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; OR (IV) FOR ANY MATTER BEYOND Rraycom'S REASONABLE CONTROL. TO THE EXTENT A JURISDICTION DOES NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, THE ABOVE LIMITATIONS AND EXCLUSIONS DO NOT APPLY.

13. Indemnification

YOU AGREE TO INDEMNIFY AND HOLD Rraycom AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, AND EMPLOYEES HARMLESS (INCLUDING, WITHOUT LIMITATION, FROM ALL DAMAGES, LIABILITIES, SETTLEMENTS, COSTS AND ATTORNEYS' FEES) FROM ANY CLAIM OR DEMAND MADE BY ANY THIRD PARTY DUE TO OR ARISING OUT OF YOUR ACCESS TO THE SERVICE, USE OF THE SERVICE, YOUR VIOLATION OF THIS AGREEMENT, OR THE INFRINGEMENT BY YOU OR ANY THIRD PARTY USING YOUR ACCOUNT OF ANY INTELLECTUAL PROPERTY OR OTHER RIGHT OF ANY PERSON OR ENTITY.

14. Term

This Agreement becomes effective and thus binding on you the moment you start using the Rraycom Services.

We may suspend or terminate with immediate effect your access to the Services (in whole or in part) and/or your account if we reasonably believe that you are or may be in breach of this Agreement or any applicable law, are or may be misusing the Services, or if we are investigating suspected misconduct.

Termination or expiration of this Agreement for any reason shall not release either you or Rraycom from any liabilities or obligations set forth in this Agreement which (i) you and Rraycom have expressly agreed shall survive any such termination or expiration, or (ii) remain to be performed or by their nature would be intended to be applicable following any such termination or expiration.

15. International Use

By using Rraycom's Services, you give Rraycom permission to collect, process, and store data as described in its Privacy Notice. Rraycom's servers are located in the United States of America and your information, including personal data, may be transferred to the United States and processed and stored there. Your information, including personal data, may also be transferred and processed in other countries where Rraycom operates. These countries may not have privacy laws similar to or as comprehensive as the laws where you reside and/or are a citizen. When we transfer your personal information to other countries, we will protect that information as described in our Data Protection and Privacy Notice or as disclosed to you at the time of data collection. By using Rraycom's Services, or by accessing its websites you explicitly consent to this transferring, processing, and storage of your information, including personal information.

16. International Use

This Agreement is governed and construed in accordance with the laws of  United States, without regard to its conflict of law rules.

17. Miscellaneous

Rraycom. "Rraycom" means Shenzhen Shoushi Technology Co., Ltd. with its principle offices at 11 Building, Heshakeng Industrial Zone, Longbo Road, Buji District, 518000, Shenzhen, Guangdong, China.

Severability. If any provision of this Agreement is held to be illegal or unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable.

Force Majeure. We are not liable for any failure or delay to perform our obligations under this Agreement where the failure is due to anything beyond our reasonable control (for example, natural disasters, flood, fire, acts of terror, malicious damage, compliance with any law or governmental order, or mechanical, electronic or communications failure or degradation).

No waiver. If we fail to insist that you perform any of your obligations under this Agreement or we do not act or delay in acting to in exercise a right or remedy provided by this Agreement that does not mean we have waived our rights or remedies against you and will not mean that you do not have to comply with your obligations.

Language. Rraycom is a global IoT platform provider. This Agreement may be translated into other languages otherwise than English. To the extent allowed by law, the English version of this Agreement is binding and other translations are for convenience only.

Assignment. You may not transfer or assign this Agreement (or your user account) to anyone without our written consent. We may assign or transfer this Agreement to our affiliates or to a party that buys us or an affiliate or parent of ours without your consent by providing you with notice.

Entire Agreement. This Agreement (including additional terms that may be provided by us when you engage with a feature of the Services) is the entire agreement between you and us and supersedes all prior representations or agreements for the Services. Headings are for reference purposes only and do not form part of this Agreement.

Amendments. This Agreement will be updated from time to time on a need-to-update basis. We may notify you of such changes via email or otherwise reasonable means, depending on what our legal department has changed. The fun guy in our Legal Department will return and this Agreement will be more fun to read. We promise that!
